Terms of Service

1. Agreement to Terms

By accessing or using PatchBay Pro (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use after changes are posted constitutes acceptance.

2. Description of Service

PatchBay Pro is a web-based tool for creating, managing, and sharing live sound show documentation including patch lists, stage plots, and gear configurations. The Service is provided “as is” and “as available.”

3. Accounts

To use certain features you must create an account using Google sign-in or email and password. You are responsible for maintaining the security of your account credentials. You must provide accurate information and keep it up to date. You may not share your account or allow others to access it.

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent or guardian's consent to use the Service.

4. Free and Paid Plans

PatchBay Pro offers a free tier with limited features and paid subscription plans with additional capabilities. Current plan details and pricing are available on our pricing page.

  • Free plan: Limited to 3 shows and 24 input channels per show. PDF exports include a small footer attribution.
  • Pro plan: Unlimited shows and channels, clean PDF exports, cloud sync, and priority support. Includes a 14-day free trial for new subscribers (see Section 5).
  • Team plan: Everything in Pro plus multiple seats and team management.

5. Free Trial, Billing, and Cancellation

Free trial. New subscribers to a paid plan are eligible for a one-time 14-day free trial. A valid payment method is required at sign-up but will not be charged during the trial period.

  • Each user is eligible for one free trial. Creating multiple accounts to obtain additional trials is a violation of these Terms.
  • During the trial you have full access to the features of your selected plan.
  • If you cancel before the trial ends, you will not be charged. Your account will revert to the free plan and your data will remain accessible within free-tier limits.
  • If you do not cancel, your subscription will automatically convert to a paid plan at the end of the trial period and your payment method will be charged at the then-current rate for your selected plan and billing interval.

Billing. Paid plans are billed monthly or annually in advance through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • You can cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of your current billing period. You retain access to paid features until then.
  • We do not offer prorated refunds for partial billing periods. If you believe you were charged in error, contact us within 14 days.
  • We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current billing period.

6. Your Content

You retain ownership of all show data, patch lists, stage plots, and other content you create using the Service (“Your Content”). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you.

When you share a show via a public link, you authorize us to make that show data accessible to anyone with the link. You can revoke this access at any time.

We do not claim ownership of Your Content. We do not use Your Content for advertising, training machine learning models, or any purpose other than providing the Service.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Scrape, crawl, or automatically extract data from the Service
  • Resell or redistribute the Service without written permission
  • Circumvent usage limits, rate limits, or access controls

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

The PatchBay Pro name, logo, design, and underlying code are our intellectual property. You may not copy, modify, or create derivative works from the Service. This does not restrict your rights to Your Content.

9. Availability and Support

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience downtime. We are not liable for any losses caused by service interruptions.

Support is provided on a best-effort basis for free users. Paid plan subscribers receive priority support.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATCHBAY PRO AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain Your Content for a reasonable period to allow you to export it, after which it will be deleted.

14. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved in the courts of the applicable jurisdiction.
